These Terms and Conditions ("Agreement") govern your use of the Loon Ledger website and your engagement with our accounting, bookkeeping, and tax advisory services. By using this website or entering into a service arrangement with us, you agree to be bound by these terms. Please read them carefully. 1. Definitions

In this Agreement, the following terms carry these meanings:

  • "We," "Us," or "Loon Ledger" — refers to Loon Ledger, operating from 815 Broadway Avenue, Saskatoon, SK S7N 1B5.
  • "You" or "Client" — refers to any individual or business entity using our website or engaging our services.
  • "Services" — refers to bookkeeping, tax filing, and financial advisory services offered by Loon Ledger.
  • "Website" — refers to the Loon Ledger website accessible at mapleledgers.online.
  • "Agreement" — refers to these Terms and Conditions together with any signed engagement letter or service proposal.
  • "Content" — refers to any text, documents, financial data, or materials shared between you and Loon Ledger in the course of a service engagement.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that:

  • You are at least 18 years of age and have the legal capacity to enter a binding agreement.
  • If acting on behalf of a business, you have the authority to bind that business to this Agreement.
  • You have read, understood, and agree to be bound by these Terms and Conditions.

3. Description of Services

Loon Ledger offers the following professional services to Saskatchewan small businesses:

  • Small Business Bookkeeping & Bank Reconciliation — Monthly transaction recording, reconciliation, and financial statement preparation for businesses handling up to 250 transactions per month.
  • Annual Tax Filing & Credit Optimization — T2 corporate returns, T1 self-employment schedules, GST filings, and Saskatchewan provincial tax preparation.
  • Strategic Financial Advisory & Tax Architecture — Long-horizon advisory for businesses generating above CAD 225,000 in annual revenue, covering structure, compensation, succession, and retirement planning.

The precise scope, timeline, and deliverables for any engagement will be outlined in a service proposal or engagement letter provided before work begins. Services are available to clients located in Canada, with particular familiarity with Saskatchewan regulations and requirements.

4. Your Responsibilities

To allow us to serve you well, you agree to:

  • Provide complete, accurate, and timely financial information and documents as requested.
  • Notify us promptly of any changes to your business structure, ownership, or financial circumstances that may affect the services.
  • Review all prepared materials, statements, and returns before approval and raise any concerns in advance of submission.
  • Use our website and communications lawfully and respectfully.
  • Not use our website to transmit harmful, unlawful, or fraudulent material.

5. Fees and Payment

Our current service fees are as follows:

  • Bookkeeping & Reconciliation — CAD 200 per month, invoiced monthly in advance.
  • Annual Tax Filing — CAD 515 per filing season, invoiced upon completion and prior to return submission.
  • Strategic Advisory — CAD 970 per year, invoiced annually at the commencement of each cycle.

All fees are in Canadian dollars and are subject to applicable taxes (GST/PST where applicable). Payment is due within 14 days of invoice date. We reserve the right to pause service delivery on accounts with outstanding balances beyond 30 days. We may update our fee schedule with reasonable notice, and any changes will apply to new or renewing engagements only.

6. Refunds and Cancellation

We approach cancellations with fairness and flexibility:

  • Monthly bookkeeping — You may cancel at any time with 30 days' written notice. Fees paid for the current month are non-refundable, but no further charges will apply after the notice period.
  • Tax filing — Cancellation before document review commences may be refunded in part. Once review and preparation have begun, the fee reflects work completed and is not refundable.
  • Advisory engagement — Cancellation within 14 days of the annual engagement start date will receive a pro-rated refund. After that period, fees for the cycle are considered earned.

If you have a concern about the quality of our work, we ask that you contact us directly. We are committed to resolving any issues in good faith.

7. Intellectual Property

The content on the Loon Ledger website — including text, structure, visual design, and materials — is the property of Loon Ledger and is protected under Canadian intellectual property law. You are welcome to view and reference our content for personal informational purposes. However, you may not reproduce, distribute, or repurpose our content without our written consent.

Financial records, reports, and documents we prepare on your behalf become your property upon full payment. Loon Ledger retains copies for compliance and record-keeping purposes as required by law.

8. Disclaimers

While we take our work seriously and bring genuine care to every engagement, we want to be transparent about the nature of professional services:

  • Our services are provided in good faith based on the information you supply to us. The accuracy of our work depends on the accuracy of your records and disclosures.
  • Tax law and CRA interpretation may change, and we cannot warrant that filings will be accepted without query or adjustment by tax authorities.
  • Information provided on our website is for general informational purposes and does not constitute professional tax or legal advice. Please consult us directly before making decisions based on website content.
  • We do not make representations about future financial outcomes, tax savings amounts, or business results.

9. Limitation of Liability

To the fullest extent permitted under Saskatchewan and Canadian law, Loon Ledger's total liability to you for any claim arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim during the 12 months preceding the incident. We shall not be liable for indirect, consequential, incidental, or special damages, including loss of profits or business opportunity, whether or not we have been advised of the possibility of such losses.

10. Indemnification

You agree to indemnify and hold harmless Loon Ledger and its team members from any claims, losses, or costs (including reasonable legal fees) arising from your breach of this Agreement, your use of our website in an unlawful manner, or your provision of inaccurate or incomplete information that affects the quality of our work.

11. Termination

Either party may end a service engagement:

  • By providing 30 days' written notice for ongoing engagements.
  • Immediately, in writing, if either party materially breaches this Agreement and fails to remedy the breach within 10 business days of notice.

Upon termination, we will provide you with all records and documents prepared on your behalf. Fees for work completed through the termination date remain payable. Sections of this Agreement relating to payment, intellectual property, liability, and dispute resolution will survive termination.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. We sincerely hope that any disagreement can be resolved through direct conversation. If a dispute cannot be resolved informally within 30 days of written notice, the parties agree to attempt mediation before pursuing any other remedy.

If mediation is unsuccessful, any legal proceedings shall be brought in the courts of Saskatchewan. Both parties irrevocably consent to the exclusive jurisdiction of those courts.

13. General Provisions

  • Entire Agreement — These Terms and Conditions, together with any signed engagement letter, constitute the complete agreement between us.
  • Severability — If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.
  • Waiver — Our failure to enforce any provision on one occasion does not waive our right to enforce it in the future.
  • Assignment — You may not transfer your rights under this Agreement without our written consent. We may transfer our obligations as part of a business succession or sale, provided your service continuity is maintained.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. When material changes are made, we will update the "Last Updated" date above and, where appropriate, notify active clients by email. Continued use of our website or services following any update constitutes acceptance of the revised terms.
